You choose the amount of data to host on-line for one low monthly fee because iDigMedia is leasing slots in a jukebox instead of hard drive space. Fill up a CD or DVD with files, we'll put it in our electronic document management software located at a secure offsite data storage facility, and the digital data can be distributed via the web. The cost to lease a slot is $20 per month with no setup fee.

Service Terms and Conditions Agreement

IMPORTANT: YOU SHOULD CAREFULLY READ THE FOLLOWING TERMS AND CONDITION OF USE ("AGREEMENT") BEFORE SELECTING TO REGISTER FOR USE OF IDIGMEDIA.COM ("SERVICE.")

ACCESSING OR LINKING TO ANY PART OF THE IDIGMEDIA.COM SERVICE YOU ARE REPRESENTING THAT YOU ARE AGREEING TO ALL THE TERMS AND CONDITIONS OF USE OF THIS SERVICE AGREEMENT. IF YOU DO NOT AGREE TO ALL THE TERMS AND CONDITIONS OF USE OF THIS SERVICE AGREEMENT, OR YOU CANNOT COMPLY WITH THESE TERMS AND CONDITIONS OF USE, THEN YOU SHOULD NOT USE THE SERVICE..

IF YOU ARE DEEMED TO HAVE REGISTERED FOR THE SERVICE, ACCEPTANCE IS EXPRESSLY CONDITIONED UPON THE ASSENT TO ALL THE TERMS AND CONDITIONS OF USE OF THIS SERVICE AGREEMENT, TO THE EXCLUSION OF ALL OTHER TERMS.

iDigMedia.com is being provided to you by Applied Project Management Systems DBA Assured Solutions under the terms expressed in this document. iDigMedia.com, AssuredSolutions, and Applied Project Management Systems, may be construed to be one company and the names interchangeable. This is an agreement between you ("The Customer,") and Applied Project Management Systems ("APMS").

TERMS OF THE SERVICE.
- Subject to APMS' acceptance of your service, and your compliance with the terms and conditions of this Agreement, APMS will provide you with data transmission, and disk storage on iDigMedia.com. APMS will allow you a one-way transfer of data files from our servers to you or your customers with the intent to distribute data from your stored disks.
- In your use of the service, you are responsible for obtaining and maintaining all computer hardware, software and communications equipment needed to access iDigMedia.com, and for paying all third party access fees incurred while using the service.- APMS warrants that, once a disk is successfully served, the service will conform to the initial specifications for the retention period selected.
- APMS cannot gaurantee that the service is continuously available nor any specific feature(s) of the service. APMS reserves the right to change the service or the terms and conditions of this Agreement at any time without notice.
- The subscription term for each disk you enroll is 12 months. Your subscription term will automatically be renewed for an additional 12 month period unlessa Termination Notice is sent to 411@. this termination notice should include: company name, contact name, disk name, telephone number, address, and requested termination date.
- At termination, APMS has no obligation to return disks or data. If APMS chooses to return said items, it will be at APMSí sole discretion and shipping costs to be paid by the receiver.

LINKS ON YOUR WEB SITE.
- As a customer, you may provide on your web site a link to your data by substituting the vendor code we give you in the URL:
http://www.idigmedia.com/resources/<your vendor code>/.
- By participating in the ìfirst disk hosted for 90 days freeî guarantee, you agree to create a link from your web site to your data located on our service following the URL format above within the first 30-days of service. Failure to do so, will constitute a breach of this Agreement on your part and all subscription term fees will be immediately due and payable, your guarantee options will be forfeited, and your disk will be hosted for the complete subscription term.
- You acknowledge that APMS may receive information from or about visitors to your site or communications between your site and those visitors.
- You acknowledge that we may crawl or otherwise monitor your site for the purpose of ensuring the quality and reliability of links on your site (for example, to detect links that are broken or non-functional, links to unavailable services, web pages, to confirm performance on your part of this agreement, etc.).

RESPONSIBILITY FOR YOUR SITE.
- You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. For example, you will be solely responsible for: 
 * the technical operation of your site and all related equipment
 * creating and posting Service descriptions on your site and linking those descriptions to our web site
 * the accuracy and appropriateness of materials posted on your site
 * ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights)
 * ensuring that materials posted on your site are not libelous or otherwise illegal.
- We disclaim all liability for these matters. Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of your site.

LICENSE GRANT. If you are an existing customer of APMS, this agreement may not supersede other agreements between the customer and APMS; however, it may supplement existing agreements. For new customers of APMS, this agreement will supersede other agreements, expressed or implied.

CHANGES TO TERMS. APMS may change the terms of service at any time. Any change to these terms of service will be made publicly available on this website. Continued use of the service is construed as your acceptance of the terms of service. You should visit this page from time to time to review the then-current Terms because they are binding on you.

CHANGES TO THE IDIGMEDIA.COM SERVICE. APMS reserves the right to change or discontinue the iDigMedia.com service at any time, with or without notice. APMS shall be in no way liable for any consequence to anyone or anything which results from our decisions regarding continuing, changing, or discontinuing this service. Furthermore, APMS shall only be liable for returning the prorated unused portion of your term.

LIMITATION OF LIABILITY.
- In no event shall APMS be liable with respect to its service, or any software from a third party vendor in conjunction with the service, (a) for any indirect, special, consequential, or incidental damages including, without limitation, lost profits or loss or damage to data, (b) for cost of procurement of substitute goods, services or technology, (c) for damages to data during disk storage, or data deletion by APMS, (d) for damages to data disks during transportation, (d) for defects in data disks resulting in incomplete or corrupt data transfers, (e) for defects in data transmission resulting in incomplete or corrupt data transfers, (f) if obligations are delayed or prevented by any reason of any act of God, war, fire, natural disaster, accident, riots, acts of government, or any other cause beyond its reasonable control, or (g) for any other matter related to the service provided, whether or not foreseeable and even if APMS has been advised of the possibility of such damages.
- APMS cannot guarantee that iDigMedia.com will meet your requirements or that iDigMedia.com will be uninterrupted, timely, secure or error-free; that Internet access between your web site, or your customerís point of presents, and iDigMedia.com is reliable, timely, or secure; that your disk availability or disk access time when a requested by a your customer; that any or all files or file types submitted to the service will be made available for download whether due to content, file name, or incompatibility of file format; that any or all file thumbnails submitted to the service will show the proper representation of a fileís content.
- APMS will not be liable for any special, direct, consequential, indirect, or incidental damages which result from use, cost, errors, security breaches, or anything else related to the use of iDigMedia.com. (If it is illegal for us to exclude certain liabilities for you because of your legal jurisdiction, then the illegal exclusions do not apply to you.)
- If you believe that the service does not conform to the Terms of Service above, contact APMS and your sole remedy for breach of this limited warranty shall be either re-performance of the specific service component which failed free of charge or, at your sole discretion, refund of any prorated fees paid by you for the period in which the specific service failed to conform to this limited warranty.

LIMITATION OF LIABILITY FOR DATA STORED AT IDIGMEDIA.COM. APMS assumes no liability for any of the data that is stored on the iDigMedia.com site, be it obscene, offensive, illegal, or if it is an infringement of property rights of anyone. The customer is solely responsible for the file content they designate for distribution by this service. You agree not to transmit through the service (1) any illegal pictures, materials or information; (2) any harassing, libelous, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material of any kind or nature; (3) any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national, or international law or regulation; (4) any code or material that violates the intellectual property rights of others; or (5) any viruses, "Trojan horses", worms, or any other similar contaminating or destructive features. You will only use the service for lawful purposes, in compliance with all applicable laws including without limitations, copyright, trademark, obscenity, anddefamation laws. Unlawful activities may include, without limitation, attempting to compromise the security of any networked account or site, making direct threats of physical harm, or transmitting, distributing or storing any unlawful material. If you violate the restrictions, you agree to automatic termination without refund of fees or recourse AND to defend and indemnify APMS against any claim or action that arises from your unlawful or improper use of the service.

OWNERSHIP OF DATA. You own all data that you distribute at iDigMedia.com. You are solely responsible for (a) obtaining sufficient rights to the content of all data and files stored by you on our servers and jukeboxes and (b) ensuring that such content does not include any of the items listed in the above paragraph. APMS does not review, inspect, edit or monitor any content, data or files archived by you or any other user of the service, including, without limitation, for viruses, worms, "Trojan horses" or any other similar contaminating or destructive features. APMS reserves the right to refuse, remove or disable access to any data or files stored on our servers that may be illegal, may violate the terms of the above paragraph, may violate the rights of any third party, or otherwise may be reasonably objectionable.

AUTHORITY. The person accepting this agreement warrants he/she has the authority to enter into this agreement on behalf of customer and that customer will be bound by the terms of this agreement.

PAYMENT OF FEES. You agree to provide APMS or any authorized third party with accurate and complete billing information, including your legal name, address and telephone number, and to update this information within30 daysof any change to it. Payment by fraudulent means will result in immediate and permanent termination of the account, and possible criminal penalties. Upon signing up for an account, you will pay APMS, may it be via a third party payment processing service, by authorized credit card, the then applicable setup fees. APMS reserves the right to change the fees or applicable charges and to institute new charges at any time (which may be sent by email or displayed on the iDigMedia.com web site). The new fees will automatically be charged according to your subscription use. If you believe you have been billed incorrectly for any service, you must contact APMS no later than 60 days after the closing date of the first billing statement in which the error or problem appeared, in order to receive an adjustment or credit. Inquiries should be directed to 411@.
- You agree to pay APMS at the beginning of the term, for the full subscription term, of the hosting services incurred by you or your customers.
- You agree to pay APMS for all download fees incurred by you or your customers at a rate of $.01 US per megabyte plus any associated execution fees. Payment terms are net fifteen (15) days from invoice date. You shall be liable for any amount not paid when due and all expenses incurred in collecting charges that are in arrears, including reasonable attorneyís fees. If you fail to pay the fees for a period of forty-five (45) days after the date of the invoice, APMS may perform account termination as outlined below.

INDEMNIFICATION. You agree to indemnify and hold APMS and its affiliates, officers, stockholders, and employees harmless from any type of demand or any type of claim which would include attorneys' fees which are reasonable, which are made by any third party as a result of your use of the service, be it any type of infringement such as intellectual property or other rights, or other actions that designate data to be archived from your site, or an infringement of these terms of service by you.

SUPPORT. APMS will provide you or your customerswith support services via e-mail or call-in/call-back phone line. Under no circumstances will APMS have any obligation to provide you or your customers with hard-copy documentation, upgrades, enhancements, modifications, or toll-free phone support.

ACCOUNT TERMINATION. Youagree to be solely and completely responsible for all of your transmissions onto and off of our service, and the contents of those transmissions. APMS holds the right to terminate your access to the service at any time with or without reason, at APMS' sole discretion. If your account is terminated for any reason, you agree that APMS may cease providing the service, refuse requests to downloads, and/or make public notification of service termination. You may not have permission to access your files on the service and your files will be permanently removed from our servers and disks permanently removed from our jukeboxes. APMS is not obligated to give you access to any data that you provided to us for distribution. All sections of this service Agreement, which by their nature should survive termination, will survive termination, including, without limitation, accrued rights to payment, warranty disclaimers, and limitations of liability, except as otherwise expressly provided herein. Termination is not an exclusive remedy and all other remedies will be available whether or not the Agreement is terminated.

ENFORCEMENT. If APMS fails to act on any of the terms of this document it should not be construed as a waiver of any provision unless APMS agrees to any such waiver in writing.

GENERAL.
- This agreement shall be construed pursuant to the laws of the State of Texas and the United States.
- No waiver of any breach of any provision of this agreement shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of APMS. If any portion hereof is found to be void or unenforceable, the remaining provisions of this agreement shall remain in full force and effect.
- Any notice required by this Service Agreement or given in connection with it, shall be in writing and shall be deemed to have been duly given when received, if personally delivered; when receipt is electronically confirmed by our mail server to your mail server, if transmitted by facsimile or e-mail; the day after it is sent, if sent for next day delivery by certified or registered mail, return receipt requested, mail, postage prepaid, or recognized overnight delivery services.
- No agency, partnership, joint venture, or employment is created as a result of this Service Agreement and you do not have authority of any kind to bind APMS in any respect whatsoever.
